Digital Product License and Terms

These terms apply to digital products purchased from NORRED INC., doing business as NORRED Project Controls (“NORRED,” “we,” “us,” or “our”). By purchasing, accessing, or downloading a NORRED digital product, the purchaser agrees to these terms, the Terms of Service, Privacy Policy, Refund Policy, and any product-specific terms displayed during purchase.

Digital products

NORRED digital products may include Excel workbooks, templates, scorecards, toolkits, operating systems, reports, guides, bundles, and other downloadable electronic materials. No physical item is included unless the product page expressly states otherwise.

One-business internal-use license

Unless a product page or separate written license states otherwise, one purchase grants one named business or organization a limited, nonexclusive, nontransferable license to use and customize the product for its own internal business operations.

The license does not permit the purchaser to:

Resell, sublicense, rent, lease, publish, distribute, or commercially share the product;
Provide the original or modified product to another business, client, affiliate, contractor, or third party as a standalone product;
Upload the product to a public repository, shared template marketplace, training dataset, or unauthorized file-sharing service;
Remove ownership notices or present NORRED materials as the purchaser’s own commercial template library;
Use the product to create a competing template, toolkit, software product, or digital-product catalog for sale; or
Use one purchase across unrelated legal entities without NORRED’s written approval.

Consultants or service providers who want to use a NORRED product across multiple client organizations must obtain an appropriate multi-client or commercial-use license in writing.

Intellectual property

NORRED retains ownership of the product design, formulas, structures, instructions, branding, methods, examples, documentation, and other original materials. Purchase is a license to use the product, not a transfer of copyright or other intellectual-property ownership.

The purchaser retains ownership of the business and project data entered into the product.

Software and compatibility

Product pages identify the expected file format and intended environment. Products using advanced Excel functions, formulas, charts, tables, data validation, or formatting are designed primarily for supported desktop versions of Microsoft Excel unless otherwise stated.

Google Sheets, Apple Numbers, browser-based spreadsheet tools, older software versions, mobile applications, security restrictions, and third-party conversion tools may not preserve every feature. Compatibility limitations outside the stated environment are not automatically product defects.

Digital delivery

Files are normally made available electronically after successful checkout. The purchaser is responsible for providing an accurate email address, maintaining access to the customer account or delivery email, checking spam and security filters, and storing an appropriate backup after download.

When a download link or file is not received, the purchaser should use the Digital Product Support page or contact projects@norredprojectcontrols.com.

Product descriptions and examples

NORRED uses reasonable efforts to describe each product accurately. Images, example records, dashboard values, and sample data are illustrative and do not promise that a purchaser will achieve the same result.

A digital product is a standardized tool. It does not automatically include custom configuration, data entry, historical reconstruction, training, integration, consulting, or ongoing support unless the product page expressly states otherwise.

Updates and versions

Purchase includes the version delivered at the time of sale. NORRED may correct or improve products, but the purchase does not include lifetime updates, future versions, new modules, custom changes, or ongoing maintenance unless expressly stated.

Technical support

Reasonable support may be provided for download access, opening the delivered file, identifying the intended software environment, or confirming whether the correct file was delivered.

Product support does not include operating the purchaser’s business, entering the purchaser’s data, customizing the system, interpreting contracts, or providing professional services unless separately purchased.

Refunds and technical problems

Because digital products are immediately accessible and cannot be physically returned, sales are generally final after access or download.

NORRED will review a request involving a duplicate charge, non-delivery, corrupted file, materially incorrect file, or a non-waivable right under applicable law. Customers should report a delivery or technical problem within 10 business days. NORRED may first provide a replacement file, corrected link, compatibility guidance, or reasonable technical assistance before considering a refund.

No regulated professional advice

Digital products provide project-controls, administrative, analytical, and management-support tools. They do not constitute legal, engineering, architectural, tax, safety, certified public accounting, investment, medical, or other regulated professional advice.

The purchaser remains responsible for source-data accuracy, contract interpretation, legal and regulatory compliance, engineering and safety decisions, financial authorization, approvals, and business decisions.

No guaranteed result

NORRED does not guarantee that use of a digital product will prevent every delay, claim, dispute, cost overrun, missed deadline, reporting error, business loss, or project risk. Results depend on data quality, implementation, user behavior, project conditions, third parties, and decisions outside NORRED’s control.

Limitations and misuse

To the maximum extent permitted by law, NORRED is not liable for indirect, incidental, special, punitive, or consequential damages arising from use or inability to use a digital product. Liability that cannot legally be excluded remains subject to applicable law.

NORRED may terminate the license when the purchaser materially violates these terms. Termination does not create a right to refund.

Governing terms

These terms are governed by Texas law, subject to any mandatory law that applies to the purchaser. If these terms conflict with a separate signed license or enterprise agreement, the signed agreement controls for the covered purchase.
