TERMS OF USE AND SERVICE
Effective Date: October 3, 2026
- WHO WE ARE
NORRED INC., doing business as NORRED Project Controls (“NORRED,” “we,” “us,” or “our”), provides remote project controls, contract administration, document control, executive reporting, project assessments, dashboards, and related professional consulting services.
These Terms of Use and Service govern access to and use of norredprojectcontrols.com, website forms, communications, information, and services offered by NORRED.
- ACCEPTANCE OF THESE TERMS
By accessing or using this website, submitting information through a website form, requesting a proposal, purchasing services, or using NORRED services, you acknowledge and agree to these Terms.
If you are acting on behalf of a company, government agency, nonprofit organization, or other entity, you represent that you have authority to act on behalf of that entity.
You must be at least 18 years old and legally able to enter into a binding agreement to purchase or authorize NORRED services.
If you do not agree to these Terms, do not use this website or submit information through it.
- WEBSITE INFORMATION
The information available on this website is provided for general informational and business-development purposes.
Website content does not constitute legal, tax, certified public accounting, architectural, licensed engineering, medical, investment, or other regulated professional advice.
Website information may not address the specific facts, requirements, risks, laws, contract terms, or circumstances of a particular project.
NORRED may update, modify, remove, or correct website content at any time without notice.
- NO CLIENT RELATIONSHIP THROUGH WEBSITE USE
Visiting this website, submitting a form, sending an email, communicating with an automated system, receiving general information, or participating in an introductory conversation does not create a consultant-client relationship.
A professional services relationship begins only after the appropriate parties accept a proposal, statement of work, service agreement, master services agreement, order form, government contract, or other written engagement document.
NORRED may decline any inquiry or proposed engagement at its discretion, subject to applicable law.
- PROJECT-SPECIFIC AGREEMENTS
The specific scope, schedule, fees, responsibilities, deliverables, payment terms, confidentiality requirements, ownership rights, and other conditions for a project will generally be stated in an applicable written engagement document.
If an accepted engagement document conflicts with these Terms, the accepted engagement document controls for the covered services.
Government engagements may also be subject to applicable statutes, procurement regulations, solicitation requirements, contract clauses, agency rules, and mandatory government terms. Those requirements will control when applicable.
- ARTIFICIAL INTELLIGENCE AND AUTOMATION
NORRED may use artificial intelligence, automation, analytics, and other technology-assisted tools to support activities such as:
Document organization;
Information extraction;
Administrative processing;
Research;
Draft preparation;
Scheduling;
Data analysis;
Dashboard development;
Reporting;
Communications;
Quality checks; and
Preparation of client deliverables.
Artificial intelligence and automation tools assist NORRED personnel and do not replace NORRED’s responsibility for the services provided.
Unless otherwise agreed in writing, client-facing reports, recommendations, analyses, dashboards, and other final deliverables are subject to review by an authorized NORRED representative before final delivery.
Artificial intelligence systems may produce inaccurate, incomplete, outdated, inconsistent, or inappropriate information. NORRED does not represent that artificial intelligence output will be error-free.
Clients remain responsible for reviewing and approving decisions involving legal compliance, safety, engineering, finance, procurement, regulatory obligations, contract interpretation, government submissions, or other high-impact matters.
Additional information about NORRED’s technology practices is included in the Legal Notice and Privacy Policy.
- CLIENT RESPONSIBILITIES
Clients and prospective clients are responsible for:
Providing complete, accurate, and timely information;
Identifying project requirements, deadlines, restrictions, and decision-makers;
Reviewing reports, schedules, dashboards, recommendations, and deliverables;
Providing timely approvals, decisions, access, documents, and feedback;
Confirming that information submitted to NORRED may lawfully be shared and processed;
Maintaining appropriate copies and backups of original records;
Obtaining legal, accounting, engineering, safety, regulatory, or other specialized professional advice when needed; and
Making final project, business, contractual, financial, procurement, and operational decisions.
NORRED is not responsible for delays, errors, additional costs, or incomplete results caused by inaccurate information, missing records, delayed approvals, unavailable access, changing requirements, or other matters outside NORRED’s reasonable control.
- CLIENT MATERIALS AND AUTHORIZATION
“Client Materials” include documents, data, spreadsheets, schedules, contracts, reports, communications, images, project records, system exports, and other information supplied to NORRED.
By providing Client Materials, you represent that you have the authority and legal right to provide them and authorize NORRED to use and process them for the requested services.
You grant NORRED a limited right to access, reproduce, organize, analyze, transform, and otherwise process Client Materials as reasonably necessary to evaluate an inquiry, prepare a proposal, perform agreed services, maintain business records, and comply with legal obligations.
You remain responsible for the accuracy and legality of Client Materials.
- CONFIDENTIALITY AND SENSITIVE INFORMATION
Do not submit passwords, Social Security numbers, complete financial-account information, protected health information, classified information, Controlled Unclassified Information, export-controlled information, government system credentials, trade secrets, or other highly sensitive information through a public website form or unsolicited email.
NORRED will provide separate transfer instructions when an approved method is needed for sensitive project information.
Submitting information before a confidentiality agreement or professional services agreement is accepted does not automatically create a nondisclosure agreement, fiduciary relationship, or professional duty of confidentiality beyond obligations imposed by applicable law and the NORRED Privacy Policy.
NORRED will not knowingly process classified information, Controlled Unclassified Information, export-controlled information, protected health information, or other specially regulated information through general-purpose artificial intelligence systems.
Clients must notify NORRED in writing before providing information subject to special security, handling, storage, retention, residency, export-control, government-contract, or regulatory requirements.
- FEES, INVOICES, TAXES, AND PAYMENT
Project fees, deposits, retainers, billing schedules, payment deadlines, reimbursable expenses, taxes, and other financial terms will be stated in the applicable proposal, agreement, invoice, or order document.
Clients are responsible for providing accurate billing information and paying all undisputed amounts when due.
Unless an applicable agreement states otherwise, NORRED may pause work when an invoice becomes overdue, required information is not provided, or a client fails to satisfy an agreed project obligation.
The Service Cancellation and Refund Policy applies unless a project-specific written agreement contains different terms.
Payment processing may be performed by Shopify, banks, payment processors, or other third-party providers. Those providers may apply their own terms and privacy practices.
- INTELLECTUAL PROPERTY
NORRED retains ownership of its business name, branding, website content, processes, methodologies, know-how, software, workflows, automation systems, templates, report formats, dashboard structures, training materials, and other materials developed independently of a specific client engagement.
Clients retain their ownership rights in Client Materials supplied to NORRED.
Ownership and permitted use of project-specific deliverables will be determined by the applicable engagement document.
Unless the engagement document states otherwise, after full payment NORRED grants the client a nonexclusive license to use final client-specific deliverables for the client’s internal business purposes.
That license does not transfer ownership of NORRED’s preexisting materials, general methods, templates, systems, processes, software, know-how, or third-party materials incorporated into a deliverable.
Clients may not sell, sublicense, publish, distribute, or commercially reproduce NORRED materials unless expressly authorized in writing.
- ACCEPTABLE WEBSITE USE
You may not use this website, its forms, or NORRED systems to:
Violate any law, regulation, contractual obligation, or third-party right;
Submit fraudulent, false, misleading, defamatory, threatening, or unlawful content;
Impersonate another person or organization;
Transmit malware, harmful code, spam, or unauthorized advertising;
Attempt to gain unauthorized access to an account, system, server, network, or data;
Interfere with website operation, security, or availability;
Scrape, harvest, copy, or extract website content or personal information through unauthorized automated means;
Circumvent access controls or security measures;
Use NORRED content to train, develop, or operate another commercial system without written permission; or
Use the website for activity that could expose NORRED, its clients, or other users to security, legal, financial, or reputational harm.
NORRED may restrict or terminate access when it reasonably believes these Terms have been violated.
- THIRD-PARTY SERVICES AND LINKS
NORRED may use or link to third-party services, including Shopify, Microsoft 365, cloud-storage platforms, payment processors, analytics providers, cybersecurity providers, artificial intelligence providers, automation systems, communication platforms, and other business tools.
Third-party services are governed by their own terms, privacy policies, availability, security practices, and technical limitations.
NORRED does not control and is not responsible for the content, operation, availability, security, accuracy, or practices of unaffiliated third-party services.
- NO GUARANTEED OUTCOME
NORRED provides professional time, expertise, analysis, administration, reporting, and agreed deliverables.
Unless expressly guaranteed in a signed written agreement, NORRED does not guarantee:
A contract award;
A government award;
A grant or funding decision;
A procurement result;
Approval of a proposal or submission;
A specific schedule result;
A specific cost result;
A specific financial result;
A regulatory determination;
Avoidance of every delay, dispute, claim, cost overrun, or project risk; or
Any other particular business or project outcome.
Past performance, examples, projections, assessments, estimates, forecasts, schedules, dashboards, or recommendations do not guarantee future results.
- WEBSITE AND SERVICE DISCLAIMERS
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND GENERAL WEBSITE INFORMATION ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
NORRED DOES NOT WARRANT THAT THE WEBSITE WILL ALWAYS BE AVAILABLE, SECURE, ACCURATE, COMPLETE, CURRENT, OR FREE FROM ERRORS, INTERRUPTIONS, VIRUSES, OR OTHER HARMFUL COMPONENTS.
PROFESSIONAL SERVICES WILL BE PERFORMED IN ACCORDANCE WITH THE APPLICABLE WRITTEN ENGAGEMENT DOCUMENT. EXCEPT FOR WARRANTIES EXPRESSLY INCLUDED IN THAT DOCUMENT, NORRED DISCLAIMS OTHER WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW.
Nothing in these Terms excludes a warranty, right, or obligation that cannot legally be excluded.
- LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NORRED AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, SUBCONTRACTORS, REPRESENTATIVES, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES.
THIS INCLUDES LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, PROCUREMENT OPPORTUNITY, CONTRACT OPPORTUNITY, OR ANTICIPATED SAVINGS, EVEN IF THE POSSIBILITY OF SUCH DAMAGES WAS DISCLOSED.
FOR CLAIMS ARISING SOLELY FROM USE OF THE PUBLIC WEBSITE, NORRED’S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED ONE HUNDRED DOLLARS.
FOR CLAIMS ARISING FROM PAID PROFESSIONAL SERVICES, NORRED’S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO NORRED FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM DURING THE SIX MONTHS BEFORE THE EVENT THAT CREATED THE CLAIM, UNLESS AN APPLICABLE SIGNED AGREEMENT PROVIDES A DIFFERENT LIMIT.
These limitations do not apply where prohibited by law or to liability that cannot legally be limited.
- INDEMNIFICATION
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless NORRED and its officers, employees, contractors, representatives, and affiliates from third-party claims, liabilities, losses, damages, penalties, and reasonable expenses arising from:
Your unlawful or unauthorized use of the website;
Your breach of these Terms;
Client Materials that violate another person’s rights;
Your fraudulent, misleading, or unlawful conduct; or
Your violation of applicable law or contractual obligations.
This section does not apply to a government entity to the extent an indemnification obligation is prohibited by applicable law or the governing government contract.
- SUSPENSION OR TERMINATION
NORRED may suspend website access, decline an inquiry, pause services, or terminate an engagement when permitted by an applicable agreement or law.
Reasons may include nonpayment, security concerns, unlawful conduct, abusive behavior, failure to provide required information, material breach, conflicts of interest, unacceptable project risk, or demands outside the agreed scope.
Termination of professional services will be handled according to the applicable engagement agreement and the Service Cancellation and Refund Policy.
Sections concerning confidentiality, payment, intellectual property, disclaimers, liability, indemnification, governing law, and other provisions that logically should survive will remain effective after termination.
- ELECTRONIC COMMUNICATIONS
You consent to receiving project-related, administrative, contractual, billing, security, and transactional communications electronically.
Electronic communications, approvals, and signatures may be used where permitted by law and the applicable agreement.
Consent to transactional communications does not automatically constitute consent to receive marketing messages.
- GOVERNING LAW AND VENUE
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
Unless an applicable signed agreement, government contract, or mandatory law requires otherwise, disputes relating to these Terms or website use must be brought in a court of competent jurisdiction located in Montgomery County, Texas.
The parties consent to personal jurisdiction and venue in those courts.
- CHANGES TO THESE TERMS
NORRED may update these Terms to reflect changes in its website, services, technology, business practices, vendors, or legal obligations.
Updated Terms will be posted on this website with a revised effective date.
Changes will not modify an existing signed engagement agreement unless the parties agree to the change as required by that agreement.
- SEVERABILITY, WAIVER, AND ASSIGNMENT
If any provision of these Terms is found unenforceable, that provision will be modified or limited to the minimum extent necessary, and the remaining provisions will remain in effect.
Failure to enforce a provision does not waive the right to enforce it later.
You may not assign your rights or obligations under these Terms without NORRED’s written consent.
NORRED may assign these Terms as part of a merger, reorganization, financing, sale of assets, or transfer of its business.
NORRED is not responsible for delays or failures caused by events beyond its reasonable control, including natural disasters, severe weather, war, terrorism, civil unrest, labor disruptions, utility failures, internet outages, cyber incidents, government actions, supplier failures, or widespread technology interruptions.
- ENTIRE AGREEMENT
These Terms, together with the Privacy Policy, Legal Notice, Contact Information, and Service Cancellation and Refund Policy, constitute the agreement governing general website use.
An accepted proposal, statement of work, service agreement, master services agreement, government contract, or other written engagement document constitutes the controlling agreement for project-specific professional services.
